Business Transaction/M&A

  • Assisted multiple clients in facilitating Partial Business Transfer (PBT) transactions. This included providing comprehensive advice on tax privileges, meticulously overseeing all legal aspects of the transaction, and ensuring seamless coordination and communication among all parties involved until the final closing of the transaction.
  • Facilitated a variety of mergers and acquisitions (M&A) transactions for numerous clients. Responsibilities encompassed offering expert legal counsel, meticulously drafting and reviewing all necessary documentation and contracts, and managing the entire transactional process to ensure smooth and successful closings.
  • Conducted thorough due diligence for several clients. This involved evaluating and analyzing the business’s risks and opportunities associated with their potential acquisitions. Provided detailed reports and recommendations, highlighting critical areas that could impact the transaction and advising on strategies to mitigate identified risks.
  • Draft various legal agreements, including employment agreements and joint venture agreements.

  • Assist several clients in relation to general company services, such as business restructuring, including capital increases and decreases, while ensuring comprehensive coverage of necessary documentation and business registration process.

Tax

  • Provided comprehensive advice on tax and international tax matters under the Revenue Code and Double Tax Agreement for an airline company, ensuring compliance and optimization of tax benefits for their business projects.

SOE – Government Projects

  • Provide legal advice and assist Airports of Thailand PCL in conducting legal research to assess the feasibility and risks of Public-Private Partnership
